9.3 Termination by Trizentix

We may terminate or suspend your access to our Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Requests by law enforcement or regulatory authorities;
• Unexpected technical or security issues;
• Extended periods of inactivity; and
• Engagement in fraudulent or illegal activities.

9.4 Effect of Termination

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

2. Mediation: If informal resolution is unsuccessful, the parties agree to attempt to resolve the dispute through mediation with the Singapore Mediation Centre before pursuing other remedies.

Arbitration: If mediation is unsuccessful, any dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed to be incorporated by reference in this clause.

11.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements or engagement letters, constitute the entire agreement between you and Trizentix regarding your use of our Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provision shall be deleted without affecting the remaining provisions.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of Trizentix.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
